These Terms of Service govern your use of the UYEH TECH Marketplace —
the platform at <strong>uyehtech.com/marketplace</strong> where buyers
purchase digital products, creators sell their own work, and affiliates
earn commission by referring customers. This is a separate agreement
from UYEH TECH's web development and design services (covered under a
different Terms of Service for that side of the business). By creating
an account, browsing, purchasing, or listing a product on the
Marketplace, you agree to be bound by these Terms.

<h2>1. Acceptance & Eligibility</h2>
<p>By accessing or using the UYEH TECH Marketplace, you confirm that you:</p>
<ul>
<li>Are at least 18 years old, or the age of legal majority in your jurisdiction</li>
<li>Have the legal capacity to enter into a binding agreement</li>
<li>Will provide accurate, current information when creating an account</li>
<li>Will comply with all applicable local, national, and international laws</li>
</ul>
<p>If you are creating an account on behalf of a business, you confirm you
have authority to bind that business to these Terms, and that "you"
throughout these Terms refers to that business as well as yourself
personally.</p>
<p>If UYEH TECH later discovers that any information used to establish your
eligibility was false or misleading, this is treated as a breach of
these Terms under Section 13, regardless of how long ago the account was
created.</p>

<h2>2. Account Types</h2>
<p>The Marketplace supports several account roles. A single person may hold
more than one role at a time (for example, a Creator who is also a
Buyer). Each role carries its own responsibilities under these Terms:</p>

<span>Browses without an account; some actions require registration</span>

</div>
<p>Support agents and administrators who assist users through live chat or
manage the platform act on behalf of UYEH TECH and are not "users" under
these Terms — their conduct is governed separately.</p>
<h3>2.5 Account Security</h3>
<p>You are responsible for maintaining the confidentiality of your login
credentials and for all activity that occurs under your account, whether
or not you authorized it. Notify Support immediately if you suspect
unauthorized access to your account. UYEH TECH is not liable for any
loss arising from your failure to keep your credentials secure, though
UYEH TECH will assist in good faith to help you recover a compromised
account.</p>

<h2>3. Buying on the Marketplace</h2>
<h3>3.1 Purchases</h3>
<p>All products listed on the Marketplace are digital goods, delivered
electronically. There is no physical shipping. Upon successful payment,
access to your purchase is delivered to your account dashboard, typically
instantly.</p>
<h3>3.2 Pricing & Currency</h3>
<p>Product prices are set by Creators (or by UYEH TECH, for platform-listed
products) and may be displayed to you converted into your local currency
for convenience. The amount actually charged is processed in the real
transaction currency shown at checkout. Currency conversion rates are
refreshed periodically and are not guaranteed to match rates at any other
point in time.</p>
<h3>3.3 Digital Delivery & Refunds</h3>
<p>Because purchases are delivered instantly and are non-physical, all sales
are generally <strong>final</strong> once a product has been successfully
delivered to your account. Refunds may be considered, at UYEH TECH's
discretion, only where:</p>
<ul>
<li>The product was never delivered due to a verified technical or payment failure</li>
<li>The product is materially different from its description (e.g., a broken file, missing content advertised as included)</li>
<li>A duplicate purchase was made in error and can be verified</li>
</ul>
<div class="highlight-box">
<strong>Refund window:</strong>
<p>Refund requests must be raised through Support within <strong>7 days</strong>
of purchase. UYEH TECH aims to respond to every refund request within
<strong>5 business days</strong> of it being raised. "Change of mind"
after a working, as-described product has been delivered is not
grounds for a refund.</p>
</div>
<p>Where a refund is approved, it is returned to the original payment
method through the original payment processor. Processing time after
approval depends on that processor and is outside UYEH TECH's control.</p>
<h3>3.4 Buyer Reviews</h3>
<p>Buyers who have completed a verified purchase may leave a rating and
written review of that product. Reviews must reflect genuine experience
with the product and must not contain abusive, defamatory, or unlawful
content. UYEH TECH may remove reviews that violate this section.</p>

<h2>4. Selling as a Creator</h2>
<h3>4.1 Application & Approval</h3>
<p>To sell on the Marketplace, you must apply for a Creator account and be
approved by UYEH TECH. Approval is at UYEH TECH's discretion and is not
guaranteed. UYEH TECH may request additional information to verify your
identity or the legitimacy of your business before or after approval.</p>
<h3>4.2 Your Storefront</h3>
<p>Once approved, you may set up a branded storefront, list products,
upload cover art and descriptions, and manage your own catalog. You are
solely responsible for the accuracy of your listings and for ensuring
every product you upload is something you have the legal right to sell.</p>
<h3>4.3 Product Standards</h3>
<p>Every product submitted goes through review before appearing live on the
Marketplace. UYEH TECH may reject, request changes to, or take down any
listing that:</p>
<ul>
<li>Infringes copyright, trademark, or any third party's intellectual property</li>
<li>Is misleading, broken, incomplete, or materially different from its listing</li>
<li>Contains malware, harmful code, or anything designed to damage a buyer's device or data</li>
<li>Violates any applicable law, or promotes illegal activity</li>
<li>Contains sexually explicit content, hate speech, or content exploiting minors</li>
</ul>
<h3>4.4 Commission Structure</h3>

<strong>How a sale is split:</strong>
<p>UYEH TECH takes a platform commission on every sale (the default rate
is disclosed on your Creator dashboard and may be individually
negotiated). Where a sale is credited to an Affiliate's referral
link, the Affiliate's commission is paid <em>out of your remaining
share</em> — it is not added on top of the platform's cut. Your
dashboard's Earnings Ledger shows the exact breakdown for every sale:
platform cut, any affiliate commission, and your net earning.</p>
</div>
<h3>4.5 Payouts</h3>
<p>Confirmed earnings become available for withdrawal once they clear any
applicable holding period. You may request a payout of any amount at or
above the minimum payout threshold shown on your dashboard, in any
currency you hold a confirmed balance in. Payouts are processed to the
payout method and details you provide, and typically complete within
<strong>3–7 business days</strong> of the request, though this is not
guaranteed and may take longer due to processor-side verification.</p>
<p>You are responsible for providing accurate and up-to-date payout details.
UYEH TECH is not liable for funds sent to an incorrect account, wallet,
or payment method resulting from inaccurate details you provided.</p>
<h3>4.6 Creator Coupons</h3>
<p>Creators may create discount coupons for their own products, subject to
Section 6 below.</p>
<h3>4.7 Your Ownership</h3>
<p>You retain full ownership of the intellectual property in the products
you create and list. By listing a product, you grant UYEH TECH a
non-exclusive license to host, display, market, and deliver that product
to buyers through the Marketplace for as long as your listing remains
active. This license ends if you remove the listing or your account is
terminated, except for copies already lawfully delivered to buyers before
that point, which those buyers retain the right to keep and use.</p>

<h2>5. The Affiliate Program</h2>
<h3>5.1 How It Works</h3>
<p>Approved Affiliates receive a unique referral link. When someone makes a
purchase after clicking that link (within the platform's tracked
attribution window), the Affiliate earns a commission on that sale, paid
out of the Creator's share as described in Section 4.4.</p>
<h3>5.2 Tiers</h3>
<p>Affiliates are placed into a tier based on their total referral count,
with higher tiers earning a higher commission percentage. Tier names,
thresholds, and rates are shown on your Affiliate dashboard and may be
adjusted by UYEH TECH from time to time. New affiliates in the entry
tier begin earning commission only after reaching the minimum referral
count shown on your dashboard.</p>
<h3>5.3 Prohibited Practices</h3>
<p>You may not:</p>
<ul>
<li>Refer yourself, or use your own link to purchase your own products, to generate commission</li>
<li>Use fraudulent, automated, or bot-driven clicks or referrals</li>
<li>Misrepresent your relationship with UYEH TECH or any Creator when promoting a link</li>
<li>Spam your referral link in a way that violates the terms of the platform you're sharing it on</li>
</ul>
<p>Commission arising from any prohibited practice may be reversed, and the
Affiliate account suspended or terminated.</p>

<div class="section" id="coupons">
<h2>6. Coupons</h2>
<p>Creators may create discount coupons for their own products. Creating a
coupon requires payment of a platform fee, calculated as a percentage of
the coupon's total discount value across its full intended usage, paid
upfront through an available payment gateway before the coupon is
submitted for admin approval and activated. Coupon fees are separate from
and in addition to standard commission on any sale where a coupon is
used. UYEH TECH may reject a coupon submission or deactivate a live
coupon found to be used fraudulently (e.g., stacking, sharing outside its
intended audience in a way that damages platform integrity, or any
attempt to game the fee calculation).</p>

<div class="section" id="payments">
<h2>7. Payments & Currency</h2>
<p>Payments on the Marketplace are processed through third-party payment
gateways (currently Paystack and Flutterwave). By making a purchase,
requesting a payout, or paying a coupon fee, you agree to that
processor's own terms of service in addition to these Terms. UYEH TECH
does not store your full card details — payment data is handled directly
by the processor.</p>
<p>Prices may be shown converted into a currency of your choosing for
display purposes; the actual transaction settles in the currency
presented at the point of payment. UYEH TECH is not responsible for
currency fluctuations between the time a price is viewed and the time a
payment is completed.</p>
<div class="warning-box">
<strong>Chargebacks:</strong> Filing a chargeback or payment dispute for a
digital product that was successfully delivered, without first
contacting Support, may result in immediate suspension of your account
pending resolution.

<div class="section" id="taxes">
<h2>8. Taxes</h2>
<p>You are solely responsible for determining what taxes, if any, apply to
your activity on the Marketplace — including income tax, value-added
tax (VAT), or withholding tax — and for reporting and remitting those
taxes to the correct authority in your jurisdiction. Prices shown to
Buyers may or may not include applicable taxes depending on your
location; where a tax is not included at checkout, you remain
responsible for any import, use, or consumption tax that applies to
your purchase under your local law.</p>
<p>UYEH TECH does not act as your employer, agent, or tax withholding party
unless required to do so by applicable law. UYEH TECH may request tax
identification information from Creators or Affiliates where necessary
to comply with reporting obligations, and may withhold payouts until
requested information is provided if legally required to do so.</p>

<h2>9. Acceptable Use</h2>
<p>Regardless of your account role, you agree not to:</p>
<ul>
<li>Use the Marketplace for any unlawful purpose</li>
<li>Attempt to gain unauthorized access to any account, system, or data that isn't yours</li>
<li>Upload or transmit viruses, malware, or any other harmful code</li>
<li>Interfere with or disrupt the platform's normal operation</li>
<li>Harass, threaten, or abuse other users or UYEH TECH support staff</li>
<li>Impersonate any person, business, or UYEH TECH staff member</li>
<li>Circumvent any pricing, commission, or fee structure described in these Terms</li>
</ul>

<div class="section" id="content-ip">
<h2>10. Content & Intellectual Property</h2>
<p>The Marketplace platform itself — its design, code, branding, and
underlying software — is the property of UYEH TECH and is protected by
applicable intellectual property law. Nothing in these Terms transfers
ownership of the platform to any user.</p>
<p>Ownership of individual products sold by Creators is addressed in Section
4.7.</p>
<h3>10.1 Reporting Infringement</h3>
<p>If you believe a listing on the Marketplace infringes your copyright,
trademark, or other intellectual property right, email
<strong>uyehtech@gmail.com</strong> with the subject line "IP Complaint"
and include:</p>
<ul>
<li>A description of the work you believe is being infringed</li>
<li>The exact URL or location of the listing you're reporting</li>
<li>Your contact information</li>
<li>A good-faith statement that you believe the use is unauthorized, and that the information you've provided is accurate</li>
</ul>
<p>UYEH TECH will review the report and may remove or restrict access to the
listing while it investigates. The Creator whose listing was reported
will be notified and may submit a counter-response with evidence of their
right to sell the product; UYEH TECH will make a final determination
based on the information provided by both parties.</p>
<h3>10.2 Your Content</h3>
<p>Any reviews, messages, or other content you submit to the platform may be
displayed within the platform. By submitting such content, you grant
UYEH TECH a non-exclusive, royalty-free license to display, reproduce,
and moderate that content for the operation of the Marketplace. Content
is retained as described in Section 11 (Data Protection & Privacy).</p>

<h2>11. Data Protection & Privacy</h2>
<p>UYEH TECH processes your personal data in accordance with the
<a href="/privacy.html" style="color:#00ff88;">UYEH TECH Privacy Policy</a>
and the Nigeria Data Protection Act 2023 (NDPA). Where a user accesses
the Marketplace from outside Nigeria, UYEH TECH also aims to honor the
data-subject rights recognized under comparable data protection laws
applicable to that user, to the extent reasonably practicable.</p>
<p>Your data may be processed and stored by third-party service providers
UYEH TECH relies on to operate the Marketplace (for example, cloud
media storage, email delivery, and payment processing providers), some
of which may be located outside Nigeria. UYEH TECH takes reasonable
steps to ensure such providers offer an appropriate level of data
protection.</p>
<p>You may request access to, correction of, or deletion of your personal
data by contacting Support. Some data may need to be retained beyond a
deletion request where required for legal, tax, fraud-prevention, or
dispute-resolution purposes.</p>

<h2>12. Support & Live Chat</h2>
<p>The Marketplace provides live chat support for buyers and creators.
Messages and any files or images you share through support chat are
stored as part of your support history and may be reviewed by UYEH TECH
staff to resolve your inquiry, investigate a report, or improve support
quality. Do not share sensitive information (passwords, full card
numbers) through chat — UYEH TECH staff will never ask you for these.</p>

<h2>13. Suspension & Termination</h2>
<h3>13.1 By You</h3>
<p>You may stop using the Marketplace or request account deletion at any
time by contacting Support, subject to any pending orders, payouts, or
legal retention requirements.</p>
<h3>13.2 By UYEH TECH</h3>
<p>UYEH TECH may suspend or terminate any account, at any time, for
violation of these Terms, suspected fraud, abuse of other users or staff,
chargebacks disputed in bad faith, or any conduct that puts the platform
or its users at risk. Where reasonably possible, you will be notified of
the reason. Confirmed, already-earned balances owed to a Creator or
Affiliate at the time of suspension are handled on a case-by-case basis
and may be withheld pending investigation of the conduct that led to the
suspension.</p>
<h3>13.3 Effect of Termination</h3>
<p>Termination of a Creator or Affiliate account does not affect a Buyer's
right to continue accessing products already lawfully delivered to their
dashboard before termination, unless that specific purchase is itself
under investigation for fraud. On termination, a Creator's active
listings are taken off the Marketplace and an Affiliate's referral links
stop generating new commission. Provisions of these Terms that by their
nature should survive termination — including Sections 8 (Taxes), 14
(Disclaimers), 15 (Limitation of Liability), 16 (Indemnification), and
18 (Governing Law & Disputes) — continue to apply after termination.</p>

<h2>14. Disclaimers & Warranties</h2>
<p>The Marketplace is provided "as is" and "as available." UYEH TECH does
not guarantee that the platform will be uninterrupted, error-free, or
secure at all times. UYEH TECH does not guarantee any level of sales for
Creators or any level of commission for Affiliates — earnings depend
entirely on market activity that UYEH TECH does not control.</p>
<p>UYEH TECH reviews Creator products before they go live but does not
independently verify every technical claim made in a product's
description; Buyers should exercise their own judgment before
purchasing.</p>
<p>To the maximum extent permitted by law, UYEH TECH disclaims all implied
warranties, including any implied warranty of merchantability, fitness
for a particular purpose, or non-infringement. Courses, templates,
scripts, and other educational or informational products sold on the
Marketplace are provided for general informational purposes only and do
not constitute professional, legal, financial, medical, or tax advice
unless the Creator's listing explicitly states otherwise and the Creator
is appropriately licensed to provide it.</p>

<h2>15. Limitation of Liability</h2>
<p>To the maximum extent permitted by law, UYEH TECH's total liability to
you for any claim arising from your use of the Marketplace is limited to
the amount you paid to UYEH TECH (as platform commission, fees, or
otherwise) in the twelve months preceding the claim. UYEH TECH is not
liable for indirect, incidental, or consequential damages, including lost
profits or lost data, arising from your use of the platform.</p>

<h2>16. Indemnification</h2>
<p>You agree to indemnify and hold UYEH TECH harmless from any claim,
damage, or expense (including reasonable legal fees) arising from your
breach of these Terms, your listed products (if you are a Creator), your
referral activity (if you are an Affiliate), or your violation of any
law or third-party right.</p>
<p>If a claim arises that you may be required to indemnify, UYEH TECH will
give you notice of the claim where reasonably possible. UYEH TECH may, at
its own expense, assume control of the defense and settlement of any such
claim, in which case you agree to reasonably cooperate with that defense.
This section does not require you to indemnify UYEH TECH for a claim
arising from UYEH TECH's own violation of these Terms or applicable law.</p>

<div class="section" id="force-majeure">
<h2>17. Force Majeure</h2>
<p>Neither party is liable for any delay or failure to perform under these
Terms caused by events beyond that party's reasonable control, including
natural disasters, power or internet infrastructure failures, government
action, war, civil unrest, labor disputes, or failures or outages of a
third-party service the Marketplace depends on (including payment
processors, cloud hosting, or media storage providers). The affected
party will make reasonable efforts to resume performance once the event
is resolved. This section does not excuse payment obligations that were
already due before the event occurred.</p>

<h2>18. Governing Law & Disputes</h2>
<p>These Terms are governed by the laws of Nigeria. In the event of any
dispute, both parties agree to first attempt resolution through good
faith negotiation, then mediation if negotiation fails. Only after
exhausting these steps may either party pursue legal action, which shall
be brought exclusively in the courts of Nigeria.</p>

<h2>19. General Provisions</h2>
<h3>19.1 Entire Agreement</h3>
<p>These Terms, together with the Privacy Policy and any role-specific
agreement referenced on the platform (such as a Creator Agreement or
Affiliate Agreement, where applicable), constitute the entire agreement
between you and UYEH TECH regarding the Marketplace, and supersede any
prior discussion or agreement on the same subject.</p>
<h3>19.2 Severability</h3>
<p>If any provision of these Terms is found by a court of competent
jurisdiction to be unenforceable or invalid, that provision will be
limited or eliminated to the minimum extent necessary, and the
remaining provisions will continue in full force and effect.</p>
<h3>19.3 No Waiver</h3>
<p>UYEH TECH's failure to enforce any right or provision of these Terms is
not a waiver of that right or provision, and does not prevent UYEH TECH
from enforcing it at a later time.</p>
<h3>19.4 Assignment</h3>
<p>You may not assign or transfer your rights or obligations under these
Terms without UYEH TECH's prior written consent. UYEH TECH may assign
these Terms, in whole or in part, without restriction, including in
connection with a merger, acquisition, or sale of assets.</p>
<h3>19.5 Notices</h3>
<p>UYEH TECH may provide notices to you via the email address on your
account or through a notification on your dashboard. Notices to UYEH
TECH should be sent to the contact details in Section 21.</p>
<h3>19.6 Headings</h3>
<p>Section headings in these Terms are for convenience only and do not
affect the interpretation of any provision.</p>

<h2>20. Changes to These Terms</h2>
<p>UYEH TECH may update these Terms from time to time to reflect changes to
the Marketplace's features, commission structure, or legal requirements.
Material changes will be posted on this page with an updated "Last
Updated" date, and where reasonably practicable, notified to you by email
or dashboard notification at least <strong>7 days</strong> before they
take effect. Minor or non-material changes (such as clarifications that
don't change your rights or obligations) take effect as soon as they are
posted. Continued use of the Marketplace after a change takes effect
constitutes acceptance of the revised Terms.</p>
